1. Agreement to Terms
These Terms of Service (“Terms”) are a legally binding agreement between you (“Client”, “you”) and Nick Himo S.R.L., registered in the Republic of Moldova, company number 1023600034825, with its registered address at Valea Trandafirilor, Chișinău, Moldova (“Company”, “we”, “us”).
By purchasing, booking, or participating in any of our Services (defined below), you agree to these Terms. If you do not agree, you must not use our Services.
We may update these Terms at any time by posting a new version with a revised “Last updated” date. Continued use of our Services constitutes acceptance of the revised Terms.
2. Services Covered
These Terms cover the following professional business services (collectively, the “Services”):
Business Model Power Hour
12-Week Coaching Programme
Workshops & Facilitation
Speaking Engagements
All Services are provided strictly on a business-to-business (B2B) basis to company representatives, executives, and professionals. Our Services are not directed at consumers.
3. Nature of Services & Disclaimers
The Services are educational and advisory only.
We provide tools and frameworks (such as the Business Model Canvas, Value Proposition Canvas, and related strategy methods).
We do not provide financial, legal, tax, or medical advice.
You remain solely responsible for your own business decisions and outcomes.
4. Fees, Payments & Currencies
Fees are stated at the time of booking or in our proposals.
Accepted currencies: EUR, MDL, USD, GBP.
Clients are responsible for all bank fees on both sides of the transaction.
Payment methods:
PayPal (subject to PayPal fees)
Bank transfer (no Company fee)
Payment is due in advance unless otherwise agreed in writing.
We reserve the right to correct pricing errors or update fees prospectively.
5. Cancellations & Refunds
You may reschedule a session with at least 24 hours’ notice.
Cancellations made with less than 24 hours’ notice, or no-shows, are charged in full.
Once a Service has been delivered, no refunds are provided.
Multi-week programmes (e.g., the 12-Week Coaching Programme) remain payable in full unless otherwise agreed in writing.
6. Client Responsibilities
Attend sessions on time.
Provide accurate information.
Take ownership of implementing actions discussed.
Maintain a professional standard of conduct in all interactions.
7. Confidentiality
We treat all non-public business information shared during Services as confidential.
Exceptions apply where disclosure is required by law (e.g., fraud, threats of harm).
We may use anonymized, non-identifiable examples for teaching or marketing.
8. Intellectual Property
8.1 Company Intellectual Property
All original materials we provide (slides, workbooks, frameworks, templates, recordings, transcripts, additional models, and designs) are owned by us or our licensors.
We grant you a limited, non-exclusive, non-transferable license to use such materials for your internal business purposes only. You may not copy, resell, or distribute our materials without written permission.
8.2 Third-Party Intellectual Property
The Business Model Canvas®, Value Proposition Canvas®, and related tools are intellectual property owned by Strategyzer AG, Switzerland.
As a Strategyzer-trained and certified coach, we are authorized to use these frameworks in the delivery of our coaching services. We make no claim of ownership over these tools. All rights in these frameworks remain with Strategyzer AG.
Your use of these frameworks during or after our engagement does not transfer or grant any ownership rights beyond what Strategyzer AG permits.
9. Limitation of Liability
The Services are provided “as is” and “as available.”
To the maximum extent permitted by law, we exclude liability for indirect or consequential damages (including loss of profits, revenue, goodwill, or business opportunities).
Our total aggregate liability arising out of or in connection with the Services is limited to the total fees you paid us in the 12 months prior to the claim.
Nothing in these Terms excludes liability for fraud, willful misconduct, gross negligence, or death/personal injury caused by negligence.
10. Indemnity
You agree to indemnify and hold us harmless from any claims, losses, damages, or expenses arising out of your misuse of the Services, your violation of these Terms, or your infringement of third-party rights.
11. Termination
We may suspend or terminate your access to Services immediately if you:
Breach these Terms;
Fail to pay fees when due;
Misuse our materials or platforms; or
Engage in abusive or unlawful conduct.
Termination does not relieve you of payment obligations already due.
12. Governing Law & Jurisdiction
These Terms are governed by the laws of the Republic of Moldova. Any disputes shall be resolved exclusively in the competent courts of Chișinău, Moldova.

13. Miscellaneous
These Terms constitute the entire agreement between you and us regarding the Services.
If any clause is found invalid, the rest remain enforceable.
Failure to enforce a right does not waive it.
We are not responsible for delays outside our reasonable control (force majeure).
